{"id":6252,"date":"2019-01-21T13:15:16","date_gmt":"2019-01-21T06:45:16","guid":{"rendered":"https:\/\/www.moea.gov.bt\/?p=6252"},"modified":"2019-01-21T13:15:59","modified_gmt":"2019-01-21T06:45:59","slug":"reminder-notice-to-all-the-incorporated-companies","status":"publish","type":"post","link":"https:\/\/www.moenr.gov.bt\/?p=6252","title":{"rendered":"Reminder Notice to All the Incorporated Companies"},"content":{"rendered":"<p>This is to notify all the incorporated companies that every listed company shall hold an Annual General Meeting for the year <strong><em>2019<\/em><\/strong> on or before <strong><em>30<sup>th<\/sup> April 2019<\/em><\/strong> and in case of unlisted public and private companies on or before <strong><em>30<sup>th<\/sup> June 2019<\/em><\/strong> as mandated by section 178 of the Companies Act of Bhutan, 2016.<\/p>\n<p>Also section 267 mandates every company to prepare and file with the Registrar of Companies an annual return for the financial year ended <strong><em>31<sup>st<\/sup> December 2018<\/em><\/strong> containing the particulars specified in Form of Annual Return on the datelines mentioned below:<\/p>\n<ol>\n<li>Every listed companies on or before <strong><em>31<sup>st<\/sup> May 2019<\/em><\/strong><\/li>\n<li>Every unlisted public and private companies on or before 31<strong><em><sup>st<\/sup> July 2019<\/em><\/strong><\/li>\n<\/ol>\n<p>Further, all public companies i.e. State Owned Enterprises, Listed Companies, Financial Institutions and unlisted public companies shall ensure that, at least one-third of its directors are independent, while appointing or reappointing directors in the upcoming Annual General Meeting.
