This is to notify all the incorporated companies that every listed company shall hold an Annual General Meeting for the year 2018 on or before 30th April 2018 and in case of other incorporated private and unlisted public companies on or before 30th June 2018 as mandated by section 178 of the Companies Act of Bhutan, 2016.
As per section 241 of the Companies Act, 2016 every company shall have a uniform financial year ending on 31st December, every year, being the period to which its complete set of financial statement shall relate. Also, section 267 mandates every company to prepare and file with the Registrar of Companies an annual return for the financial year ended 31st December 2017 containing the particulars specified in Form of Annual Returns. Every company listed with the Royal Security Exchange of Bhutan Limited shall file the annual returns on or before 31st May 2018 and other unlisted companies (i.e. Private Companies and Public Unlisted Companies) shall file the same on or before 31st July 2018. Failure to comply would invite penalties under Companies Act, 2016.
